Advisory Overview

Commonfund OCIO manages marketable investments, hedge investments, private credit and real assets investments; provides investment advisory outsourcing services (“OCIO Services”); and houses the investment personnel of Commonfund OCIO.

As described further in this Brochure, Commonfund OCIO advises both Funds designed for institutional investors, including the investment funds of its indirect parent company, The Common Fund for Nonprofit Organizations (“TCF” and, together with its and their other affiliates, “Commonfund”), as well as OCIO Clients (and who may, in that regard, establish and impose certain investment restrictions or guidelines to the extent contractually agreed to with Commonfund OCIO). Commonfund OCIO serves as an investment manager, sub-adviser, pool operator and/or managing member to one or more Clients. See also Item 16, Investment Discretion, and the discussion of Investment Opportunities in Item 6, Performance-Based Fees and Side-by-Side Management.

Commonfund OCIO primarily executes its investment strategies on a discretionary basis through unaffiliated asset management firms (and, in some cases, managers affiliated or otherwise associated with Commonfund OCIO) selected and monitored by it. These sub-advisers are referred to as “Managers” and these advisory services are described as “manager-of-manager” services (such programs are also sometimes called “fund-of-funds” in the financial industry). However, Commonfund OCIO also has the authority and ability to manage certain assets directly, generally including, but not limited to, domestic and international equities, United States government securities, corporate debt and obligations, swaps, currency forwards, equity index futures, fixed income futures, commodities futures and options. See also Item 5, Fees and Compensation, and Item 8, Methods of Analysis, Investment Strategies and Risk of Loss.

Some of Commonfund’s investment programs are managed or sub-advised by an affiliate of Commonfund OCIO; specifically, certain private equity primary, secondary and co-investment strategies and distressed strategies are managed or sub-advised by CF Private Equity, Inc. (“CF Private Equity”). CF Private Equity has issued its own investment adviser brochure. Investment funds managed by CF Private Equity will be referred to as “Affiliate Funds” in this Brochure.

Timothy T. Yates, Jr. is the President and Chief Executive Officer of Commonfund OCIO and serves as a member of the Board of Directors of Commonfund OCIO and as a member of its Investment Committee (the “Investment Committee”). He also serves as a member of the Commonfund Asset Allocation Committee.

Mark J.P. Anson is the President, Chief Executive Officer and Chief Investment Officer of Commonfund Holding Company, Inc. (“Commonfund Holdings”) and the Chair of the Board of Directors of Commonfund OCIO. He is also a member of the Investment Committee of Commonfund OCIO and, effective September 14, 2024, the Chief Investment Officer of Commonfund OCIO. In addition, Mr. Anson serves as Chair of the Board of Directors of CF Private Equity and as a member of its Investment Committee, and as a member of the Commonfund Asset Allocation Committee.

Commonfund OCIO is registered with the SEC as an investment adviser (SEC File No. 801-56548).

History and Ownership of Commonfund OCIO

Commonfund OCIO is part of Commonfund, a group of companies owned directly or indirectly by TCF. TCF is a tax-exempt membership corporation that offers investment fund interests to certain eligible educational and educational support organizations. TCF was organized in 1969 pursuant to a Special Act of the New York State Legislature and commenced operations on July 1, 1971. Initial funding for TCF was provided by a grant from The Ford Foundation.

To enable Commonfund to work with a broader universe of clients than those educational institutions eligible for direct membership in TCF, Commonfund Asset Management Company, Inc. was incorporated on May 12, 1999 under the laws of the State of Delaware. Commonfund Asset Management Company, Inc. was renamed effective February 1, 2023, as Commonfund OCIO, Inc. Commonfund OCIO is 100 percent owned by TCF (through an intermediate holding company, Commonfund Holdings).

Assets under Management

As of June 30, 2025, Commonfund OCIO manages approximately $20,435,231,877 of assets on a discretionary basis, and approximately $2,224,024,343 on a non-discretionary basis.
